SideHusl.com AI & Automated Data License Agreement

Effective Date: [DATE]

This AI & Automated Data License Agreement (“Agreement”) is between SideHusl.com (“SideHusl”) and the individual or entity accepting this Agreement (“Licensee”).

If Licensee accepts this Agreement on behalf of a company or other entity, Licensee represents that Licensee has authority to bind that entity.

1. Grant of License

Subject to Licensee’s payment of all applicable fees and continued compliance with this Agreement, SideHusl grants Licensee a limited, non-exclusive, non-transferable, revocable license to access and use SideHusl Site Content solely for the purposes expressly permitted by this Agreement.

No ownership of SideHusl Site Content is transferred to Licensee.

2. Standard License

Unless the parties have entered into a separate written agreement, the standard license permits automated retrieval of SideHusl webpages at a rate of:

$0.10 per successful page retrieval.

A successful page retrieval means an automated request that results in the retrieval of SideHusl webpage content by Licensee’s system.

Requests that receive an error response, are blocked before content is delivered, or otherwise do not retrieve SideHusl content are not billable.

Each successful retrieval constitutes one licensed access.

3. Permitted Uses

Subject to payment of applicable fees, Licensee may use retrieved Site Content for:

  • AI system development;
  • AI-powered search;
  • retrieval and summarization;
  • machine-learning analysis;
  • model evaluation;
  • RAG systems;
  • internal research;
  • other AI purposes disclosed to and approved by SideHusl.

Unless expressly authorized in writing, the license does not permit republication of SideHusl’s articles in substantially complete form.

4. Prohibited Uses

Licensee may not:

  1. represent SideHusl content as Licensee’s original content;
  2. sell or sublicense SideHusl content as a standalone dataset;
  3. create a competing website or database substantially based on SideHusl content;
  4. redistribute substantial portions of SideHusl content;
  5. remove copyright notices or attribution;
  6. circumvent technical access restrictions;
  7. exceed agreed-upon request rates;
  8. use credentials issued to another licensee;
  9. transfer this license to another entity; or
  10. use SideHusl content for a purpose materially different from the purpose disclosed when the license was obtained.

5. AI Training

Unless the license specifically states otherwise, the license permits Licensee to use retrieved Site Content for AI model training, fine-tuning, evaluation, or improvement only if such use has been disclosed to SideHusl and expressly authorized.

Payment of the standard per-scrape fee does not, by itself, grant unlimited rights to reproduce or redistribute SideHusl content.

6. AI Search and Generated Answers

Licensee may use licensed Site Content in AI-powered search or answer systems only in accordance with this Agreement.

Where technically feasible, Licensee shall provide attribution or a link identifying SideHusl as the source of information derived from SideHusl content.

Licensee shall not intentionally cause its system to represent SideHusl’s proprietary reviews, ratings, rankings, or editorial conclusions as information created independently by Licensee.

7. Caching and Storage

Licensee may temporarily store retrieved Site Content as reasonably necessary to perform the licensed purpose.

Long-term storage, archival copies, or creation of a persistent dataset containing SideHusl content requires express authorization unless otherwise provided by a separate written agreement.

8. Attribution

Where technically feasible, Licensee shall identify SideHusl as the source of material information derived from Site Content and shall provide a link to the relevant SideHusl page when reasonably practicable.

9. Usage Records

Licensee shall maintain reasonable records of automated requests made pursuant to this Agreement.

SideHusl may reasonably request records necessary to verify the number of successful retrievals and applicable fees.

If Licensee’s records materially conflict with SideHusl’s server records, the parties shall work in good faith to reconcile the difference.

10. Billing

Unless otherwise agreed in writing, SideHusl may invoice Licensee monthly for applicable usage.

Invoices are due within thirty (30) days.

SideHusl may require prepayment or a deposit for high-volume access.

11. Rate Changes

SideHusl may change its standard licensing rate prospectively upon reasonable notice.

Changes will not retroactively alter fees already incurred.

A separate written license may establish a fixed rate for a specified period.

12. Technical Access

SideHusl may establish reasonable technical requirements governing licensed access, including:

  • identification of automated clients;
  • API keys;
  • authentication;
  • rate limits;
  • request limits;
  • IP restrictions;
  • designated endpoints;
  • request headers; and
  • other reasonable security measures.

Licensee shall not circumvent these measures.

13. Robots.txt

Robots.txt and similar technical instructions communicate SideHusl’s preferences concerning automated access.

Compliance with robots.txt does not constitute a license to use Site Content for AI, machine learning, commercial data extraction, or other purposes requiring authorization under this Agreement.

14. Intellectual Property

SideHusl retains all right, title, and interest in Site Content, including applicable copyrights and other intellectual-property rights.

Except for the limited rights expressly granted by this Agreement, no rights are granted.

15. No Transfer of Ownership

Licensee receives a license, not ownership.

Licensee may not claim ownership of SideHusl’s editorial content, reviews, ratings, rankings, compilations, databases, or other proprietary materials.

16. Termination

Either party may terminate this Agreement upon thirty (30) days’ written notice.

SideHusl may terminate immediately for:

  • nonpayment;
  • material breach;
  • circumvention of technical restrictions;
  • unauthorized redistribution;
  • materially excessive access;
  • fraud; or
  • use outside the scope of the license.

Upon termination, Licensee shall cease new automated retrievals except as reasonably necessary to wind down existing operations.

17. Survival

Provisions concerning intellectual property, payment obligations, confidentiality, limitations on use, dispute resolution, and accrued rights survive termination.

18. No Waiver

Failure by SideHusl to enforce a provision on one occasion does not waive its right to enforce that provision later.

19. Governing Law

This Agreement shall be governed by California law, without regard to conflict-of-law principles, except to the extent federal law controls.

20. Venue

To the extent permitted by law, disputes arising from this Agreement shall be brought in the state or federal courts located in [COUNTY], California.

Each party consents to jurisdiction and venue in those courts.

21. Automatic Acceptance

Licensee’s use of this website represents automatic acceptance of this Agreement. If you do not accept this agreement, do not search, scrape or otherwise retrieve pages from this site. Continuing to retrieve pages from this site constitutes Licensee’s agreement to be legally bound by this Agreement.

The person or entity accepting this Agreement represents that they have authority to bind Licensee.

22. Entire Agreement

This Agreement constitutes the entire agreement between SideHusl and Licensee concerning licensed AI and automated access unless the parties have entered into a separate written agreement.

23. Severability

If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain in effect, and the invalid provision shall be enforced to the maximum extent permitted by law.
